Data Privacy Policy & Consent
BERNS Accounting Services Co. (BERNS), a partnership duly organized and existing under the laws of the Republic of the Philippines, with principal office address at EDR2 Building, P. Oliveros Street, Brgy. San Roque, Antipolo City, Rizal represented herein by its Managing Partner, [Name] (hereinafter referred to as “BERNS”).
SECTION 1. TERM
This Agreement shall commence on the date of execution and shall remain effective for three (3) years, unless sooner terminated in accordance with Section 7. The Agreement may be renewed upon written consent of the Parties, provided that the total term does not exceed five (5) years.
SECTION 2. DEFINITIONS
For the purposes of this Policy:
- Authorized Personnel – Any employee, officer, or agent authorized to collect, process, or access personal data.
- Consent of the Data Subject - Any freely given, specific, informed indication of will whereby the Data Subject agrees to the collection, storage, or processing of their personal, sensitive, or privileged information.
- Data Protection Officer (DPO) - The officer responsible for BERNS’ compliance with applicable data privacy laws.
- Personal Data - Any information, whether recorded or not, that can directly or indirectly identify an individual. This includes:
- Confidential Personal Data: Contact details, financial information, employee ID, travel preferences, membership information, and other sensitive personal data.
- Public Personal Data: Personal information that may be disclosed due to regulatory or operational requirements.r privileged information.
- Processing – Any operation performed on personal data, including collection, recording, storage, modification, retrieval, use, or disposal..
- Sensitive Personal Information - Personal data such as health records, government-issued IDs, social security numbers, or data classified by law as sensitive..
- Personal Data Breach - Any incident resulting in accidental or unlawful access, disclosure, loss, or alteration of personal data..
SECTION 3. PERSONAL DATA
3.1 Personal Data Sharing
To provide its services effectively, BERNS may collect and share Personal Data, Sensitive Personal Information, and Privileged Information with authorized personnel or third-party service providers (PIPs).
3.2 Consent
The Data Subject must provide prior written or electronic consent before BERNS collects, processes, or shares personal data.
3.3 Security of Data
BERNS ensures that all personal data shared is protected using appropriate security measures, including encrypted email transmission, secure storage, and limited access to authorized personnel only.
3.4 Outsourcing
When engaging third-party processors (PIPs) for processing Personal Data, BERNS ensures that such arrangements comply with data privacy laws and are covered by formal agreements.
SECTION 4. SECURITY MEASURES
BERNS implements physical, technical, and organizational measures to protect Personal Data, including:
- Secure storage of physical and electronic records
- Password protection and restricted access
- Monitoring and logging of access to personal data
- Retention of personal data for the duration of the business relationship plus five (5) years, or as required by law

SECTION 5. REPRESENTATIONS AND WARRANTIES
BERNS commits to:
- Treat all Personal Data with the highest confidentiality
- Process Personal Data only for the purposes for which consent has been obtained
- Comply with all applicable laws, regulations, and policies on data privacy
- Notify relevant parties and authorities in the event of a Personal Data Breach
SECTION 6. RIGHTS OF DATA SUBJECTS
Data Subjects have the right to:
- 1. Be informed about the processing of their personal data
- 2. Access their personal data
- 3. Correct or update inaccurate information
- 4. Object to the processing of their data
- 5. Suspend, withdraw, or request the deletion of personal data
- 6. Lodge complaints with BERNS or the National Privacy Commission
Requests to exercise these rights should be directed at BERNS’ Data Protection Officer.
SECTION 7. TERMINATION
This Agreement may be terminated by either Party with three (3) months’ prior written notice.
SECTION 8. GOVERNING LAW AND VENUE
This Policy and any agreements arising from it shall be governed by the laws of the Republic of the Philippines. Any legal action shall be instituted exclusively in the courts of Manila City.
DATA PRIVACY CONSENT
In compliance with Republic Act No. 10173 (Data Privacy Act of 2012) and its Implementing Rules and Regulations, I hereby authorize BERNS Accounting Services to:
- 1. Collect, store, and use my personal and sensitive information to process services and administer benefits as stated in my agreements with BERNS.
- 2. Retain my personal data in BERNS’ secure database.
- 3. Share or transfer information to affiliates and authorize third parties for legitimate business purposes.
- 4. Inform me of future services, campaigns, or offers based on my consented personal data.
- 5. Allow BERNS’ authorized agents (e.g., external legal advisors) to process personal data as necessary for business operations.
I guarantee that I have obtained consent from relevant parties where applicable and agree to hold BERNS harmless from any claims related to this consent.
